Terms of Service

These Terms of Service govern your access to and use of Counsel, a decision-support tool at counsel.bbjks.com. By creating an account or otherwise accessing Counsel, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use Counsel.
Eligibility
You must be at least 18 years old and legally able to enter into a binding contract to use Counsel. Counsel is currently invite-only; you must have received a valid invitation to register.
Your account
You are responsible for the security of your account credentials and for all activity that occurs under your account. Notify us at the address at the bottom of these Terms if you become aware of any unauthorized use. You may only maintain one active account.
What Counsel is and isn't
Counsel generates decision-support content - evaluations, drafts, prep documents, coaching language - with the help of a large language model. The output is a starting point that you review, edit, and use at your own discretion.
Counsel is not legal advice, career counseling, employment negotiation representation, or financial advice. We do not guarantee that the output is accurate, complete, current, or suitable for your specific situation. You are the professional; Counsel is one of your tools.
Acceptable use
You agree not to:
- Use Counsel to harass, threaten, or defraud anyone (recruiters, employers, other users).
- Present Counsel-generated content to others without review - for example, sending an LLM-generated cover letter unedited if it contains inaccuracies.
- Scrape, crawl, mass-download, or otherwise systematically extract content from Counsel.
- Reverse-engineer, decompile, or attempt to derive the source code of Counsel.
- Circumvent, disable, or otherwise interfere with Counsel's security, rate limiting, or access controls.
- Use Counsel to build a competitive product or to train a machine-learning model.
- Upload content you don't have the right to upload (documents belonging to a former employer under a confidentiality agreement, someone else's resume, etc.).
- Attempt to use Counsel to violate any applicable law or the rights of any third party.
Your content
You retain all rights to the content you enter into Counsel - your resume, stories, opportunity notes, compensation figures, generated artifacts you subsequently edit. You grant Counsel a limited, revocable, non-exclusive license to process your content for the sole purpose of providing the service to you (running evaluations, generating drafts, sending prompts to Anthropic per the Privacy Policy). We do not claim ownership of your inputs and we do not use them to train models.
Counsel's content
The Counsel software, interface, prompts, and non-user-specific content (documentation, marketing pages, coaching guidance) are owned by us or licensed to us. You may not copy, distribute, or create derivative works from Counsel's non-user-specific content without our prior written consent.
LLM output disclaimer
Counsel's output is generated by a large language model whose training data has a cutoff date and whose reasoning can be wrong. Language models can fabricate information. You are responsible for verifying anything Counsel generates before acting on it, and for using Counsel's suggestions as a starting point rather than a final answer. We disclaim liability for actions you take based on Counsel's output.
Payments and subscriptions
Counsel is currently invite-only and free of charge. When paid subscription plans become available, additional terms specific to billing will be presented at the point of subscription. Payment processing is handled by third-party vendors (Stripe or Paddle depending on your region); their own terms apply to the payment flow.
Termination
You may terminate your account at any time through the account-wipe action in Settings. We may terminate or suspend your access to Counsel if we determine you have violated these Terms, if your account presents a security or abuse risk, or if we discontinue the service. Suspended or terminated users are notified through their registered email address unless doing so is impracticable (e.g., ongoing fraud investigation).
Disclaimers
Counsel is provided "as is" and "as available" without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or the accuracy of any generated content. We do not warrant that Counsel will be error-free, that defects will be corrected, that servers will be free of viruses or malware, or that Counsel will meet your specific requirements.
Limitation of liability
To the fullest extent permitted by applicable law, our aggregate liability arising from or related to your use of Counsel shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100). We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.
Indemnification
You agree to defend, indemnify, and hold us harmless from any claims, damages, or liabilities (including reasonable attorneys' fees) arising from your use of Counsel, your violation of these Terms, or your violation of any rights of a third party.
Dispute resolution and arbitration
Any dispute arising from or related to these Terms or your use of Counsel shall be resolved by binding arbitration administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures. The arbitration shall take place in Charlotte, North Carolina, unless we agree otherwise. You and we waive the right to a jury trial and to participate in a class action. This section does not preclude either party from seeking injunctive relief in a court of competent jurisdiction for infringement of intellectual property rights or unauthorized access to Counsel.
Governing law
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of laws principles.
Changes to these Terms
We may update these Terms from time to time. Material changes will be surfaced in the app before they take effect; the version currently in effect is dated at the top of this page. Your continued use of Counsel after changes take effect constitutes acceptance of the updated Terms.
